Welcome to ViewPaid. By accessing or using our platform, you agree to be bound by these Terms of Service. Please read them carefully. These terms constitute a legally binding agreement between you and ViewPaid.

1. About ViewPaid

ViewPaid is a performance-based creator marketplace that connects brands with content creators on TikTok and YouTube. Brands fund campaigns, creators post content promoting those brands, and our AI verifies the content and tracks views to automatically calculate creator payouts.

2. Eligibility

You must be at least 18 years old to use ViewPaid. By using the platform, you represent that you are 18 or older, have the legal capacity to enter into these terms, and are not barred from using the service under applicable law. ViewPaid does not knowingly collect data from or provide services to persons under 18. If we become aware that a user is under 18, we will terminate their account immediately.

3. Brands & Campaigns

• Brands must provide accurate contact information when submitting a campaign.
• By submitting a campaign, brands warrant that they own or have the right to use all intellectual property included in the campaign, including brand names, logos, and trademarks.
• Campaign budgets are authorised via Stripe and captured only upon campaign approval. If a campaign is rejected, no charge is made.
• Brands are solely responsible for ensuring their campaigns comply with applicable advertising laws, including FTC guidelines, ASA rules (UK), and equivalent regulations in their jurisdiction.
• ViewPaid charges a 10% platform fee on all campaign budgets. This fee is non-refundable.
• Unspent budget may be refunded upon campaign cancellation subject to a 30-day wind-down period to allow ongoing creator payouts to settle.
• Brands receive a unique reference code by email upon submission. This code is required to access campaign stats. ViewPaid is not responsible for lost access codes.
• ViewPaid reserves the right to reject any campaign at its sole discretion, including campaigns promoting products or services that are illegal, misleading, or contrary to platform values.

4. Creator Accounts & Payouts

• Creators must connect a valid Stripe account to receive payouts. Stripe's own terms and KYC requirements apply.
• Creators are responsible for ensuring their content is authentic and genuinely promotes the brand as required by the campaign brief.
• Submitting fraudulent, misleading, or non-compliant content may result in account termination and forfeiture of earnings.
• Payouts are calculated daily based on verified view counts and the campaign's rate per 1,000 views.
• Earnings begin accumulating 48 hours after a video is approved. This hold exists to allow view counts to stabilise and applies to all platforms.
• ViewPaid deducts a 5% platform fee from each creator payout. For example, if you earn $100, you receive $95.
• A minimum payout threshold of $10 applies. Earnings below this threshold accumulate until the threshold is met.
• ViewPaid reserves the right to withhold or claw back earnings found to have been generated through fraud, view manipulation, or violation of these terms.
• Creators are independent contractors, not employees of ViewPaid. ViewPaid does not withhold taxes on your behalf.

5. FTC & Advertising Disclosure

Creators participating in ViewPaid campaigns are being paid to promote brands and must clearly disclose this in their content. In the United States, this is required by the Federal Trade Commission (FTC). In the EU and UK, equivalent consumer protection laws apply. Failure to include adequate disclosure (e.g. #ad, #sponsored, or equivalent) in your video may result in removal from the campaign and forfeiture of earnings. ViewPaid is not liable for a creator's failure to disclose paid partnerships.

6. Taxes

You are solely responsible for determining and fulfilling your tax obligations arising from earnings received through ViewPaid. ViewPaid does not withhold income tax, VAT, or any other tax on your behalf. In jurisdictions where required (e.g. the United States for earnings over $600), ViewPaid or Stripe may issue tax forms such as a 1099-NEC. You agree to provide accurate tax information when requested.

7. AI Content Verification

ViewPaid uses AI to verify that submitted videos genuinely promote the relevant brand. Our AI analyses video thumbnails, titles, descriptions, and transcripts. Decisions may be reviewed manually. ViewPaid reserves the right to reject content that does not meet campaign requirements. AI decisions are not guaranteed to be accurate and may be disputed via the platform's dispute process.

8. Fraud Prevention & Clawbacks

ViewPaid actively monitors for fraudulent activity including artificially inflated view counts, fake engagement, and coordinated inauthentic behaviour. Videos with suspicious engagement patterns may be flagged for manual review. Videos posted before a campaign was created are not eligible for payouts. If fraud is detected after a payout has been made, ViewPaid reserves the right to pursue recovery of those funds by any lawful means.

9. Prohibited Conduct

• Artificially inflating view counts, likes, or comments through bots, paid services, or other means.
• Submitting videos that do not genuinely promote the brand.
• Creating multiple accounts to circumvent platform limits or suspension.
• Submitting content you do not own or have rights to.
• Using ViewPaid for any illegal purpose or in violation of any applicable law.
• Attempting to manipulate AI verification through prompt injection or other deceptive means.
• Harassing, threatening, or abusing other users or ViewPaid staff.

10. Intellectual Property & DMCA

Creators retain ownership of their content. By submitting to ViewPaid, creators grant ViewPaid a limited licence to display and analyse their content for the purposes of operating the platform. Brands retain ownership of their campaign assets.

If you believe content on ViewPaid infringes your copyright, please send a DMCA takedown notice to contact@viewpaid.com with: (1) identification of the copyrighted work, (2) identification of the infringing material, (3) your contact information, (4) a statement of good faith belief, and (5) a statement of accuracy under penalty of perjury.

11. Payments

All payments are processed through Stripe. ViewPaid is not responsible for delays or failures caused by Stripe or your financial institution. Earnings are calculated based on verified view counts updated daily. Campaign payouts are subject to available campaign budget — if a campaign budget is exhausted, no further earnings will accrue on that campaign.

12. Termination

ViewPaid reserves the right to suspend or terminate any account at any time, with or without notice, for violation of these terms or at our sole discretion. Upon termination for cause, unpaid earnings may be forfeited. You may close your account at any time by contacting us.

13. Disclaimer of Warranties

ViewPaid is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free service, specific earnings for creators, or campaign results for brands.

14. Limitation of Liability

To the maximum extent permitted by applicable law, ViewPaid's total liability to you for any claim arising out of or relating to these terms or the platform is limited to the greater of (a) the amount you have paid to ViewPaid in the 30 days preceding the claim, or (b) $100. ViewPaid is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits or data.

15. Governing Law & Disputes

These terms are governed by the laws of Denmark. Any disputes arising from these terms shall first be attempted to be resolved through good faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the Danish courts. Nothing in these terms affects your statutory rights as a consumer.

16. Changes to Terms

We may update these terms from time to time. We will notify users of material changes via email or prominent notice on the platform. Continued use of ViewPaid after changes constitutes acceptance of the updated terms.
